Nebraska Programmer, LLC provides custom software development services, including but not limited to web applications, mobile applications, data automation, and AI integration. The specific scope, deliverables, timeline, and fees for any project will be defined in a separate written agreement or statement of work.

You may use our website for lawful purposes only. You agree not to:

Our Property

Client Projects

Ownership of work product created for client projects will be defined in the applicable project agreement. Generally, upon full payment, clients receive ownership of custom code developed specifically for their project. We retain ownership of our pre-existing tools, frameworks, and methodologies.

When engaging our services, you agree to:

• Provide accurate and complete information necessary for your project
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the rights to any materials you provide to us
• Pay all fees as outlined in your project agreement

Payment terms, including fees, schedules, and methods, will be specified in your project agreement. Unless otherwise agreed:

• Invoices are due within 14 days of receipt
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
• We reserve the right to pause work on projects with outstanding balances

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law. This obligation survives the termination of our business relationship.

You agree to keep confidential any proprietary information about our processes, tools, or methodologies that we share with you during our engagement.

We will perform services with reasonable skill and care consistent with industry standards. However:

• Our website is provided "as is" without warranties of any kind
• We do not guarantee that our website will be uninterrupted or error-free
• Specific warranties for project deliverables will be defined in your project agreement

To the maximum extent permitted by law, Nebraska Programmer, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our website or services.

Our total liability for any claim arising from a project shall not exceed the total fees paid by you for that specific project.

You agree to indemnify and hold harmless Nebraska Programmer, LLC from any claims, damages, or expenses arising from your violation of these Terms, your use of our services, or your infringement of any third-party rights.

Either party may terminate a project engagement as specified in the project agreement. Upon termination:

• You must pay for all work completed up to the termination date
• We will deliver any completed work product upon receipt of final payment
• Confidentiality obligations survive termination

These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the courts of Nebraska.

We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date. Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
